TERMS AND CONDITIONS OF USE OF CO-WORKING SPACE

These Terms and Conditions (“Terms”) govern access to and use of the workspace facilities operated by Vertex Workspace (“Vertex”, “we”, “us”, or “our”).
By entering, accessing, booking, or using any Vertex Workspace facility or services, whether for a few hours, a day, a week, or any other short-term period, you (“User” or “Customer”) confirm that you have read, understood, and agree to be legally bound by these Terms.
If you do not agree with these Terms, you must not access or use the premises or services.

Nature of Services

  1. Vertex provides shared workspace facilities including, but not limited to:
    • Desks and seating areas
    • Wi-Fi internet access
    • Electricity and charging points
    • Reception and common areas
    • Meeting spaces (where available)
    • Restrooms and pantry facilities
    • Air conditioning and utilities
    • Other amenities provided from time to time
  2. Access may be granted for short-term use, including hourly, daily, weekly or other temporary arrangements.
  3. Use of the premises does not create any tenancy, lease, license coupled with interest, or property right in favour of the User. The User is granted only a revocable permission to access and use the space during the permitted period.

Mandatory User Identification and Verification

  1. For security, compliance and legal purposes, Vertex may require all Users to provide identity verification before accessing the premises.
  2. Users may be required to provide:
    • Government-issued identification
    • Contact details
    • Photograph or biometric verification
    • Company or business details (if applicable)
  3. Vertex reserves the right to:
    • Deny access where adequate identification is not provided
    • Record and retain identification details
    • Share such information with law enforcement agencies where legally required
  4. Providing false or misleading identification information may result in immediate removal from the premises and reporting to authorities.

Access to Premises

  1. Vertex may require Users to:
    • Provide identity verification
    • Register contact details
    • Comply with security procedures
    • Sign in and out of the premises
    • Obtain access cards or visitor badges
  2. Vertex reserves the right to deny entry or remove any person from the premises at its sole discretion for safety, security, operational or legal reasons.
  3. Access credentials are personal and must not be shared.
  4. Vertex reserves the right to deny entry or remove any person from the premises at its discretion for security, operational or legal reasons.

Acceptable Use of Premises

  1. Users agree that the premises shall be used solely for lawful business or professional purposes.
  2. Users shall not:
    • Conduct illegal or unlawful activities
    • Engage in harassment, discrimination, or abusive conduct
    • Create excessive noise or disturbance
    • Bring hazardous, flammable, illegal or dangerous materials
    • Conduct manufacturing, storage or industrial activity
    • Use the premises for political, religious or unlawful gatherings
    • Use the premises for residential or overnight stay
    • Conduct any activity which may damage property or endanger safety
  3. Any violation may result in immediate removal from the premises without refund.

Responsibility for Personal Property

  1. Users are solely responsible for their personal belongings including:
    • Laptops
    • Mobile phones
    • Equipment
    • Documents
    • Valuables
  2. Vertex shall not be liable for theft, loss, damage or destruction of any personal property belonging to Users or their visitors, whether or not caused by third parties.
  3. Users are advised not to leave valuables unattended.

Cybersecurity and Internet Usage

  1. Vertex may provide internet connectivity for convenience.
  2. The User agrees:
    • Wi-Fi is provided “as-is” without guarantee of speed
    • Vertex does not guarantee security, privacy or uninterrupted connectivity
    • Users access the internet at their own risk
  3. Users shall not use the network for:
    • Hacking or cyber intrusion
    • Distribution of malware or ransomware
    • Copyright infringement or illegal downloads
    • Transmitting malware or viruses
    • Accessing illegal or offensive content
    • Conducting fraudulent online activities
    • Downloading pirated or illegal content
    • Operation of botnets or unauthorized servers
    • Watching, accessing or downloading pornographic content
  4. Vertex may monitor, restrict, suspend or terminate internet access where misuse is suspected.
  5. Vertex shall not be responsible for data loss, cyber-attacks or unauthorized access to devices connected to the network.

Cyber Misuse Reporting and Law Enforcement Cooperation

  1. Users agree that Vertex may:
    • Investigate suspected cyber misuse occurring on its network
    • Preserve access logs, device identifiers or usage records
    • Disclose information to law enforcement authorities
  2. If Vertex reasonably suspects that the premises or internet network are being used for illegal or fraudulent activities, Vertex may immediately:
    • Suspend internet access
    • Remove the User from the premises
    • Report the activity to law enforcement authorities
  3. The User shall be solely responsible for any legal consequences arising from their use of the network.

User Devices and Network Security

  1. Users connect their devices to the Vertex network at their own risk.
  2. Vertex shall not be responsible for:
    • Hacking of devices
    • Malware infections
    • Unauthorized access to devices
    • Data breaches or loss of data
  3. Users are responsible for maintaining appropriate cybersecurity measures including firewalls, antivirus software and encryption.

Electricity and Utilities

  1. Electricity, air conditioning and other utilities are provided for general use.
  2. Users shall not:
    • Connect high-power or industrial equipment
    • Overload electrical points
    • Tamper with electrical installations
    • Install unauthorized devices
  3. Vertex shall not be liable for interruptions in electricity, internet, HVAC, or utilities caused by maintenance, third-party service failures, or circumstances beyond control.

Common Area Usage

  1. Users may access common areas such as:
    • Lounges
    • Reception areas
    • Corridors
    • Restrooms
    • Pantry spaces
  2. The aforesaid areas and facilities are shared in nature for the common enjoyment and benefit of all users.
  3. Users must maintain cleanliness and avoid any conduct that disturbs other occupants.
  4. Vertex reserves the right to modify or restrict access to any common facility.

Visitors and Guests

  1. Users are responsible for all visitors or guests they bring to the premises.
  2. The User shall ensure that visitors comply with these Terms.
  3. The User shall remain fully liable for any damage, misconduct or illegal activity committed by their visitors.
  4. Vertex may deny entry to any visitor.

Damage to Property

  1. Users shall not damage, alter, or tamper with any property belonging to Vertex.
  2. Users shall be liable for all damage caused by them, their employees, contractors, or visitors, including damage to:
    • Furniture
    • Fixtures
    • Infrastructure
    • Equipment
    • Building systems
  3. Vertex may recover the cost of repairs or replacement.

Prohibited Activities

  1. The premises shall not be used for:
    • Storage of goods
    • Illegal trading or financial schemes
    • Cryptocurrency mining or high-power computing operations
    • Unauthorized commercial events
    • Recording or surveillance of other occupants
    • Solicitation of other occupants
  2. Users shall not solicit business from other occupants within the premises without permission.
  3. Activities such as aggressive marketing, recruitment drives and unsolicited sales pitches are prohibited unless approved by Vertex.

Surveillance and Security

  1. The premises may be monitored through CCTV cameras, electronic access systems and visitor management systems.
  2. By entering the premises, Users consent to such monitoring for safety and security purposes.
  3. Recordings may be used for security investigations or legal proceedings.

Health and Safety

  1. Users must comply with all safety instructions issued by Vertex.
  2. Users shall not block emergency exits, interfere with fire safety equipment and/or ignore safety guidelines.
  3. Users shall immediately report any hazard or incident.
  4. Vertex shall not be responsible for injuries caused by the User’s negligence or misconduct.

No Business Address Use

  1. Users shall not, unless explicitly permitted in writing by Vertex, use the Vertex premises as registered office, GST address, mailing address and/or business registration address.

No Guarantee of Availability

  1. Workspace availability may vary.
  2. Vertex does not guarantee:
    • Availability of specific desks
    • Availability of meeting rooms
    • Uninterrupted workspace access
  3. Seating may be allocated on a first-come-first-served basis unless otherwise reserved.

Limitation of Liability

  1. To the maximum extent permitted by law Vertex shall not be liable for:
    • Indirect or consequential damages
    • Loss of business or profits
    • Loss of data
    • Theft or damage to personal property
    • Actions of other users
    • Internet misuse by third parties
  2. Vertex’s total liability for any claim shall not exceed the amount paid by the User for the workspace access during the relevant booking period.

Insurance Disclaimer

  1. Vertex does not provide insurance coverage for Users’ property, equipment or business activities. Users are responsible for obtaining any insurance coverage they deem necessary.

User Indemnity

  1. The User agrees to indemnify and hold harmless Vertex, its directors, employees and affiliates from any claims, damages, losses or liabilities arising from:
    • The User’s activities in the premises
    • Breach of these Terms
    • Unlawful acts of the User
    • Actions of the User’s visitors or guests
    • Misuse of the internet network

Right of Removal

  1. Vertex reserves the right to immediately remove any person from the premises if they:
    • Violate these Terms
    • Create disturbance or nuisance
    • Engage in unlawful conduct
    • Pose safety or security risks
  2. Removal for the aforesaid reasons shall not render Vertex liable to issue any refunds to the User.

Force Majeure

  1. Vertex shall not be liable for failure to provide services due to events beyond its control including:
    • Natural disasters
    • Power outages
    • Internet failures for reasons beyond Vertex’s control
    • Wars
    • Riots
    • Pandemics
    • Government orders
    • Technical failures
 

Termination of Access

  1. Vertex may terminate or suspend access at any time if:
    • These Terms are violated
    • Payment obligations are not fulfilled
    • Security concerns arise

Governing Law

  1. These Terms are governed by the laws of India.
  2. Courts at Mangaluru, Karnataka shall have exclusive jurisdiction to try any matters arising out of any dispute between Vertex and the User.
 

Acceptance of Terms

By entering the premises or using any Vertex Workspace services, the User confirms that they have read and agree to these Terms and Conditions.
